ARTICLE VIII
OFFICERS - POWERS AND DUTIES
Section 1. Officers.
The officers shall be a President, a First Vice President, a Second Vice President, a Recording Secretary, a Corresponding Secretary, a Treasurer, and a Delegate to the American Kennel Club, with the power and duties hereinafter described.
Section 2. President.
The President shall preside at the meetings of the Club and the Board of Directors and shall be a member ex-officio with the right to vote, of all Committees except the Nominating Committee. He shall appoint all committees subject to the approval of the Board of Directors, unless otherwise provided by these By-Laws.
Section 3. Vice Presidents.
In the case of the President's death, absence or inability to act, the First Vice President or, in his absence or disability, the Second Vice President, shall perform the duties of the President.
Section 4. Recording Secretary.
The Recording Secretary shall notify members of meetings, shall keep a record of all meetings of the Club and the Board of Directors, and all votes taken and all committee reports, and of matters of which a record shall be ordered by the Board of Directors, and a roll of the members of the Club and their addresses. The Recording Secretary shall send out, receive and tabulate all mail ballots except as otherwise specified in these By-Laws, notify committees of their appointments, and call the roll when required. The unqualified word when used alone refers to the Recording Secretary and not to the Corresponding Secretary.
Section 5. Corresponding Secretary.
The Corresponding Secretary shall be the recipient of all correspondence from the general public directed to the Club except as otherwise specified in these By-Laws. He shall make an annual report to the Board of Directors of correspondence received and answers sent. He shall promptly submit to the Recording Secretary any matters requiring the attention of the Board of Directors.
Section 6. Treasurer.
The Treasurer shall keep an account of all monies received and expended for the use of the Club. He shall collect dues and other income of the Club and shall deposit all sums received in a bank approved by the Board of Directors. He shall notify new members of their election to membership. He shall pay all bills of the Club as authorized by the Board of Directors. He shall render a report at the Annual Meeting and shall keep each member of the Board of Directors informed on the financial progress and position of the Club at the end of each three (3) month period. The Treasurer's books shall be audited at least once each year by a person or firm appointed by the President with the approval of the Board. The Treasurer shall be bonded in an amount determined by the Board with the cost to be borne by the Club. The Board may appoint a member or members of the Chow Chow Club, Inc. to receive and pay out funds for such activities as the Board specifies. Such appointees shall provide a complete accounting to the Treasurer at least quarterly, of all funds received and disbursed.
Section 7. Delegate.
The delegate to the American Kennel Club, Inc. is expected to attend meetings of the delegates and report to the membership at the Annual Meeting on the proceedings of the American Kennel Club.
Section 8. General.
In addition to the foregoing especially enumerated duties and powers, the several elected officers of the Club shall perform such other duties and exercise such other powers as are implied by their respective titles and as may be provided by the By-Laws or as the Board of Directors may from time to time determine.
