ARTICLE VI - MEETINGS

 

 



Section 1.
Annual Meeting.

There shall be an annual meeting of the Club to be held between the dates of March 15 and July 1 of each year, preferably in conjunction with the annual specialty show on a day and place fixed by the Board of Directors.

Section 2. Special Meetings.

Special meetings of the membership may be called by the President or by the Recording Secretary upon written request of the majority of the entire Board of Directors, and shall be called by the Recording Secretary upon receipt of a petition signed by fifteen percent (15%) of the members in good standing. Such special meetings shall be held at such date, place, and hour as may be designated by the Board of Directors. No business other than that specified in the notice of meeting shall be transacted at any special meeting of the members of the Club.

Section 3. Notice of Meetings.

Notices of annual and special meetings of the Club shall be mailed at least thirty (30) days and no more than sixty (60) days before the time appointed for the meeting. All notices of meetings shall set forth the place, date, time and purpose of the meeting.

Section 4. Quorum.

At all meetings of the Club, whether annual or special meetings, ten percent (10%) of the members in good standing shall constitute a quorum for the transaction of business. Except as otherwise required by statute or by the By-Laws, the act of the majority of the members present at any such meeting at which a quorum is present shall be the act of the members. In the absence of a quorum, a majority of the members present may adjourn the meeting.

Section 5. Voting.

Each member of the Club shall be entitled to one (1) vote, to be cast in person at meetings of the membership. There shall be no voting by proxy. There shall be no voting by mail except: (1) for the election of the Officers and Board of Directors, and (ii) for the election of the Judge of the Club's Specialty Show, and (iii) for the revision of the Breed Standard, and (iv) for the amendment of these By-Laws, and (v) for such other items as a majority of the Board of Directors shall elect to submit to the membership for its approval or opinion, and (vi) as otherwise provided in these By-Laws.

Section 6. Special Mail Ballot.

In those instances when the membership voting at the annual meeting, shall vote to reverse or significantly change a motion of the Board of Directors, the Board shall, if unwilling to accept the vote of the membership, submit the motion to the entire membership for resolution by a mail ballot. In such a case, the President shall appoint, with Board approval, a committee of four with two members representing each side of the question. The committee members representing each side of the question will present separate discussions of the motion, not to exceed three hundred (300) words, these discussions to be included with the ballot. The ballot and discussions prepared by the said committee must be sent by the said committee to the Recording Secretary within forty-five (45) days following the committee's appointment. The Recording Secretary shall submit the ballot and discussion to the membership no more than thirty (30) days after its receipt from the committee. The ballot shall specify a date, not less than thirty (30) days nor more than forty (40) days after the date of mailing by which the ballot must be returned to the Recording Secretary to be counted. The majority vote of those members in good standing will resolve the question and the Recording Secretary will promptly notify the Board of Directors of the results of the ballot and the membership shall be informed of the results.
